KYC for private placement

The Orchid Protocol is the decentralized, open-source technology for an Internet free from surveillance and censorship.

This private placement only accepts investment from accredited investors. According to SEC Rule 501 of Regulation D, the onboarding requirements are as described below:

  • to be considered an accredited investor, one a net worth of at least $1,000,000, excluding the value of one’s primary residence
  • OR, have income at least $200,000 each year for the last two years and have the expectation to make the same amount this year
  • OR, $300,000 combined income for the last two years if married and have the expectation to make the same amount this year
  • OR, a bank, insurance company, registered investment company, business development company, or small business investment company
  • OR, an employee benefit plan, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million
  • OR, a charitable organization, corporation, or partnership with assets exceeding $5 million;
  • OR, any trust, with total assets in excess of $5 million, not formed to specifically purchase the subject securities, whose purchase is directed by a sophisticated person
